INTERNET SALES BANS IN SELECTIVE DISTRIBUTION SYSTEMS IN THE LIGHT OF EUROPEAN UNION CASE LAW

Abstract

Selective distribution system can be defined as a distribution method of a manufacturer limiting the sale of his/her product to authorised resellers, and also preventing the approved resellers from selling to unauthorised resellers. Selective distribution systems are regulated in European Union competition law under the the European Commission’s Block Exemption Regulation on Vertical Agreements and Vertical Restraints Guidelines. Bans on sales via online platforms have been implemented by the undertakings in the European Union in many cases where selective distribution system is applied, and national competition authorities and courts have had to assess whether these restraints are legal. For example, in the preliminary ruling dated October 12, 2011 rendered as a result of request by the Paris Court of Appeal in respect of Pierre Fabre Dermo-Cosmétique, the selective distribution system of Pierre Fabre was considered as object restricting competition, as it allowed the products to be sold only through such authorized distributors as pharmacies, in other words removed the online sales possibility. For the said distribution system banned factually the internet as a marketing method. The recent judgement given by the European Court of Justice on internet sales bans in selective distribution systems is the Coty Prestige Germany ruling. Accordingly, within the context of a selective distribution system concerning luxury goods, a ban envisaged for authorised distributors concerning sale via third party platforms does not have to mean a restraint of competition in the sense of Article 101 (1) of the Treaty on the Functioning of the European Union. For it is allowed to sell via the authorised distributors’ own website..

AVRUPA BİRLİĞİ İÇTİHATLARI IŞIĞINDA SEÇİCİ DAĞITIM SİSTEMLERİNDEKİ İNTERNETTEN SATIŞ YASAKLARI

Abstract

Seçici dağıtım sistemi, bir üreticinin, ürününün yetkili satıcılara satışını kısıtlayan ve de onaylanmış satıcıların yetkilendirilmemiş satıcılara satış yapmasını önleyen dağıtım yöntemi olarak tanımlanabilir. Seçici dağıtım sistemleri, Avrupa Komisyonu’nun Dikey Anlaşmalar Grup Muafiyeti Tüzüğü ve Dikey Kısıtlamalar Kılavuzu çerçevesinde Avrupa Birliği rekabet hukuku bakımından düzenlenmiştir. Avrupa Birliği’ndeki teşebbüsler tarafından seçici dağıtım sisteminin uygulandığı birçok durumda çevrimiçi platformlar yoluyla satışlar hakkındaki yasaklar uygulamaya konmuş ve bu kısıtlamaların hukuka uygun olup olmadığını genellikle ulusal rekabet kurumları ve ulusal mahkemeler göz önüne almak zorunda kalmıştır. Örneğin, Pierre Fabre Dermo-Cosmétique ile ilgili olarak Paris Temyiz Mahkemesi tarafından yapılan talep sonucunda verilen 13 Ekim 2011 tarihli ön kararda, Pierre Fabre’ın seçici dağıtım sistemi, ürünlerin sadece eczaneler gibi yetkili dağıtıcılar vasıtasıyla satılmasına izin verdiği, yani çevrimiçi satış olasılığını ortadan kaldırdığı için, rekabeti kısıtlayıcı amacın var olduğuna hükmedilmiştir. Zira söz konusu dağıtım sistemi, fiili olarak interneti bir pazarlama yöntemi olarak yasaklamıştır. Avrupa Birliği Adalet Divanı’nın seçici dağıtım sistemlerindeki internet satış yasakları hakkında verdiği son karar ise Coty Prestige Germany kararıdır. Buna göre, lüks mallara ilişkin bir seçici dağıtım sistemi bağlamında, üçüncü taraf platformlar yoluyla satış yapmaya ilişkin yetkili dağıtıcılar için öngörülen bir yasak, Avrupa Birliği’nin İşleyişi Hakkında Antlaşma m. 101/1 anlamında bir rekabeti kısıtlama anlamına gelmek zorunda değildir. Zira yetkili dağıtıcının kendi internet sitesi yoluyla satış faaliyetine izin verilmektedir.
