Kişisel Verilerin Korunması Kanunu’nda Öngörülen Meşru Menfaat Kavramının Ticaret Şirketleri Bakımından Değerlendirilmesi

Law No. 6698 on the Protection of Personal Data (KVKK) has deeply affected the activities of commercial companies in all areas with its entry into force. Although the main rule in data processing is explicit consent, the legislature has introduced exceptions to this rule in Article 5/2-f of the law. In our study, the text of the article “Data processing is mandatory for the legitimate interests of the data controller, provided that it does not harm the fundamental rights and freedoms of the data subject” regulated in Article 5/2-f of the KVKK will be analyzed by dividing it into its elements and In particular, the meaning of the concept of interest in company law will be tried to be determined. In this context, to better understand the subject, firstly, an explanation will be made regarding the basic concepts in the KVKK. Afterwards, the meaning of this provision in terms of commercial companies will be expressed by emphasizing that the regulation in Article 5/2-f of the KVKK is a reason for compliance with the law.

6698 sayılı Kişisel Verilerin Korunması Kanunu (KVKK) yürürlüğe girmesi ile tüm alanlarda olduğu gibi ticaret şirketlerinin faaliyetlerini de derinden etkilemiştir. Veri işlemede ana kural açık rıza olsa da yasama organı Kanun’un 5. maddesinin 2. fıkrasında bu kurala istisnalar getirmiştir. Çalışmamızda KVKK m. 5/2-f’de düzenlenen ”İlgili kişinin temel hak ve özgürlüklerine zarar vermemek kaydıyla, veri sorumlusunun meşru menfaatleri için veri işlenmesinin zorunlu olması” madde metni unsurlarına ayrılarak ele alınacak ve özellikle menfaat kavramının şirketler hukukundaki anlamı tespit edilmeye çalışılacaktır. Bu kapsamda konunun daha iyi anlaşılabilmesi için öncelikle KVKK’ da yer verilen temel kavramlara ilişkin açıklama yapılacaktır. Sonrasında ise KVKK m. 5/2-f’de yer alan düzenlemenin bir hukuka uygunluk sebebi olduğu üzerinde durularak bu hükmün ticaret şirketleri bakımından anlamı ifade edilecektir.
