Abstract
The board of directors is one of the most important and necessary structures of companies. Strategy and policies of the company are established in the board, thus the board has vital role for the companies’ future. In this study, relationship between composition of the board of directors and performance of the company are explained, and managerial problems in the board of eBay which is a successful global USA company are discussed. According to basic financial indicators of eBay, in 2013, eBay’s financial performance decreased compared to 2012 and 2011. eBay’s stock is not profitable compared to average technology companies in S&P 500. Carl Icahn who is one of the largest investors in the world said that the managerial problems in the board of eBay damage eBay’s future. According to Icahn’s open letter to shareholders, interests of at least two members of the board conflict eBay’s interests. As seen in eBay case, composition of the board of directors have both opportunities and threats for company’s future.

Abstract
Yönetim kurulu anonim şirketlerin en önemli ve zorunlu yapılarından biridir. Şirket stratejileri ve politikaları yönetim kurulunca oluşturulmaktadır. Bu nedenle yönetim kurulu şirket ve şirketin geleceği için hayati öneme sahiptir. Bu çalışmada, yönetim kurulu kompozisyonu ile şirket performansı arasındaki ilişki tartışılmış ve küresel bir ABD şirketi olan eBay’deki yönetsel problemler tartışılmıştır.
Temel finansal göstergelere göre, eBay’in finansal performansı 2013 yılında 2012 ve 2011 yıllarına kıyasla düşüş göstermiştir. eBay hisselerinin getirisi S&P 500’e dahil teknoloji hisselerinin ortalamasının altındadır. Dünyanın en büyük yatırımcılarından biri olan Carl Icahn eBay’in yönetim kurulundaki yönetsel problemlerin eBay’in geleceğine büyük zarar verdiğini söylemektedir. Icahn’ın hissedarlara gönderdiği açık mektuba göre, en az iki yönetim kurulu üyesinin çıkarları eBay’in çıkarları ile çatışmaktadır. eBay örneğinde görüldüğü gibi, şirket yönetim kurulu kompozisyonu şirketlerin geleceği için hem fırsatlar hem de tehditler getirmektedir.References
