Vertretung der Aktiengesellschaft durch den Aufsichtsrat

In Germany the joint stock corporation has a two-tiered board structure. The executive board manages the corporation and is vested with the authority to represent the corporation; the supervisory board is charged to control the executive board. There is an exception to this division of powers if the corporation enters into a contract with a member of the executive board. In this case the supervisory board represents the corporation according to section 112 of the Stock Corporation Act. The same rule applies if the corporation deals with another company that belongs completely to a member of the executive board. The rule does not apply, however, if a member of the executive board only holds some shares. In this case the possible conflict of interest can be dealt with by holding the executive board liable for breach of its duty of loyalty if it ignores the interest of the corporation and seeks private advantage at the expense of the company. By examining the supervisory board as representative of the joint stock corporation, this article sheds some light on the principles governing the two-tiered board structure and on the liability of the executive board

Die deutsche Aktiengesellschaft hat eine zweigliedrige Führungs - und Kontrollstruktur. Während der Vorstand die Gesellschaft leitet, ihre Geschäfte führt und sie nach außen vertritt, überwacht der Aufsichtsrat die Tätigkeit des Vorstands. Doch wird diese Regel durchbrochen, wenn die Gesellschaft einen Vertrag mit einem Vorstandsmitglied abschließt. In diesem Fall vertritt der Aufsichtsrat die Gesellschaft gem. § 112 AktG. Dasselbe gilt, wenn die Gesellschaft mit einem Unternehmen kontrahiert, das zu 100% einem Vorstandsmitglied gehört. Doch verbleibt die Vertretungsmacht beim Vorstand, wenn ein Vorstandsmitglied nur einige Geschäftsanteile am Vertragspartner hält. Der potentielle Interessenkonflikt im Vorstand kann durch Haftungsandrohung gedämpft werden: Verletzt der Vorstand seine Treuepflicht, indem er die Belange der Gesellschaft ignoriert und seinen eigenen Vorteil auf Kosten der Gesellschaft verfolgt, kann er auf Schadensersatz in Anspruch genommen werden.
