KONUT VE ÇATILI İŞYERİ KİRA SÖZLEŞMELERİNDE KİRA BEDELİNİN DEĞİŞTİRİLMESİNİN ŞEKLE TABİ OLUP OLMADIĞI SORUNU
Abstract
Türk Borçlar Kanunu’nun 343 ve devamı maddelerine göre taraflar, kira sözleşmesini kurarken kira bedelini serbestçe belirleyebilir. Ancak bu serbesti, yenilenen kira dönemlerinde sınırlanmış olup TBK m. 344 hükmü uyarınca kira artış oranı, tüketici fiyat endeksinin (TÜFE) on iki aylık ortalamasını aşamaz. Uygulamada kira sözleşmeleri genellikle iradi olarak adi yazılı yapılmakta ve kira artışının TÜFE oranında olacağı kararlaştırılmaktadır. Buna rağmen tarafların, kira yenileme döneminden önce sözlü ya da örtülü şekilde farklı bir kira bedeli üzerinde anlaştıkları da görülmektedir. Bu durumda belirlenen yeni kira bedeli, sözleşmede öngörülen artış oranı hesaplandığında bulunacak tutardan daha düşük veya daha yüksek olabilir. Taraflar, bu şekilde kararlaştırdıkları yeni kira bedeli üzerinden aslında sözleşmeyi değiştirmiş olmalarına rağmen bu tür değişiklikler, özellikle kira bedeline yönelik beş yıllık alacak zamanaşımı süresi içinde taraflar arasında uyuşmazlıklara yol açmaktadır. Zira taraflar arasında çıkan bir anlaşmazlık halinde kiraya veren taraf, aslında sözleşme değiştirilmiş olmasına rağmen bu değişiklik yazıya dökülmediğinden kira bedelinin eksik ödendiği iddiası ile kira fark alacaklarını talep etmekte; kiracılar ise çeşitli sebeplerle fazla ödedikleri kira bedellerinin iadesini talep etmektedir. Burada temel sorun, bu tür sözlü veya örtülü değişikliklerin geçerli olup olmadığı ve kira bedelinin değiştirilmesinde yazılı şekil şartının gerekip gerekmediğidir. Çalışmamızda, konuya ilişkin Yargıtay ve Bölge Adliye Mahkemeleri kararları irdelenerek yargının bu uyuşmazlıklardaki tutumu değerlendirilecek, öte yandan konuyla ilgili teorik açıdan incelemeler yapılarak hukuki ihtilafların çözümüne katkı sağlanmaya çalışılacaktır.

THE ISSUE OF WHETHER CHANGING THE RENT AMOUNT IN RESIDENTIAL AND ROOFED WORKPLACE LEASE AGREEMENTS IS SUBJECT TO A FORM REQUIREMENT
Abstract
Pursuant to Articles 343 et seq. of the Turkish Code of Obligations, the parties are free to determine the rent amount at the time of concluding the lease agreement. However, this freedom is restricted in renewed lease periods; in accordance with Article 344 of the TCO, the rate of rent increase may not exceed the twelve-month average of the Consumer Price Index (CPI). In practice, lease agreements are generally executed in ordinary written form based on the parties’ mutual intent, and it is typically agreed that rent increases will be made in line with the CPI. Nevertheless, it is also observed that, prior to the renewal period, the parties may agree—either verbally or implicitly—on a different rent amount. In such cases, the newly determined rent may be either lower or higher than the amount calculated according to the contractual increase rate.Although the parties, by agreeing on such a new rent, effectively amend the contract, these types of modifications frequently give rise to disputes, particularly within the five-year statute of limitations applicable to claims concerning rent. Indeed, in the event of a dispute, the lessor may claim outstanding rent differences on the ground that the rent was underpaid, arguing that the contractual amendment is invalid due to the absence of a written form; conversely, tenants may seek reimbursement of rent allegedly overpaid for various reasons. The central issue here is whether such verbal or implicit modifications are legally valid and whether a written form requirement is necessary for altering the rent amount. In this study, the approach of the judiciary to such disputes will be evaluated through an analysis of the decisions of the Court of Cassation and the Regional Courts of Appeal, while also providing a theoretical examination of the subject in order to contribute to the resolution of legal disputes.
