Abstract
Dismissal of the members of management board is regulated under article 364 by
new Turkish Commercial Code. According to this provision despite the appointment
of members by main contract it is possible the dismissal of members by the decision
of general board when there is article in agenda or when there isn’t any then the
availability of legitimate reasons are taken into account. Legitimate reasons are not
mentioned in Code. It is possible to detect these reasons by taking into consideration
the code rationale, related regulation and the situation in comparative law. In
article 364/II it is regulated the compensation of dismissed members of management
board. It is one of the indicators to qualify the privity between parties as mandate.
It is possible to be dismissed by general board without any resons. However in this
instance the member could demand compensation.

Yeni Türk Ticaret Kanunu ile yönetim kurulu üyelerinin görevden alınması m.
364’te düzenlenmiştir. Bu hükme göre, üyeler esas sözleşme ile atanmış olsa dahi,
gündemde ilgili maddenin bulunması veya gündemde madde bulunmasa bile haklı
sebebin varlığı halinde genel kurul kararıyla her zaman görevden alınabilir. Haklı
sebeplerin neler olduğu kanunda belirtilmemiştir. Bu sebepleri kanun gerekçesi,
ilgili yönetmelik ve mukayeseli hukuktaki durumu göz önünde bulundurarak
ortaya çıkarmak mümkündür. TTK m. 364/II ile görevden alınan yönetim kurulu
üyelerinin tazminat hakkına sahip olduğuna ilişkin düzenleme getirilmiştir. Taraflar
arasındaki hukuki ilişkinin vekâlet olarak nitelendirilebilmesine dair önemli
göstergelerden biridir. Genel kurul tarafından herhangi bir sebep gösterilmeksizin
yönetim kurulu üyelerinin görevden alınması mümkündür. Ancak bu durumda
üye haksız görevden alma nedeniyle tazminat talep edebilecektir
