Menkul Kıymet Borsalarında Alım Satıma Aracılık Faaliyeti Kapsamında Aracı Kurumlarla Yatırımcılar Arasındaki İlişkinin Hukuki Niteliği

Menkul kıymet borsalarında alım satım işlemi yapmak isteyen yatırımcıların, Sermaye Piyasası Kanunu uyarınca kurulan ve Borsa üyelik belgesini haiz bir aracı kurum ile alım satıma aracılık çerçeve sözleşmesi imzalaması gerekmektedir. Anılan sözleşme dairesinde aracı kurum, yatırımcının temsilcisi sıfatıyla, yatırımcı emirlerini Borsa’ya iletmektedir. Yatırımcı ile aracı kurum arasındaki ilişkinin hukuki niteliği, aracılığın aracı kurum tarafından kendi nam ve hesabına, başkası nam ve hesabına, kendi namına başkası hesabına gerçekleştirilmesine göre değişiklik göstermektedir. Bu çerçevede, anılan ilişkinin vekalet, komisyon veya satış sözleşmesinin unsurlarını içermesi mümkündür. Yatırımcı ve aracı kurumun söz konusu ilişkiden kaynaklanan değişik hak ve yükümlülükleri bulunmaktadır

Investors who wish to make a purchase and sale transaction in the securities exchange have to sign a purchase and sale framework contract with an intermediary institution which is established in accordance with Capital Markets Law and, has an exchange membership certiŞ cate. Within the context of this contract, the intermediary institution, as an agent of investor, transmits the investor’s orders to the securities exchange. The legal aspect of the relationship between intermediary institution and investor differs in connection with the intermediation carried out by intermediary institution in its own name and for its own account, in the name and for the account of another, and in its own name for the account of another. With this respect, this relationship may comprise the elements of power of attorney, commission or sale contracts. There are various rights and obligations arising from this relationship for investor and intermediary institution
