1980 tarihli Milletlerarası Mal Satımına İlişkin Sözleşmeler Hakkında
Birleşmiş Milletler Antlaşması (CISG) kapsamında tarafların sözleşmeden
doğan sorumluluğu, hukuki niteliği itibariyle bir kusursuz sorumluluktur.
Antlaşmanın 74. maddesinin 1. cümlesinde “Taraflardan birinin sözleşmeyi
ihlali halinde ödenecek tazminat, mahrum kalınan kâr dahil olmak üzere,
ihlalden dolayı diğer tarafın uğradığı zararın toplamına eşittir.” denmektedir.
Bu noktada, antlaşmanın tazminat sorumluluğu bakımından tam tazmin
ilkesini benimsediği görülmektedir. Kusursuz sorumluluk ilkesi ile tam
tazmin ilkesinin benimsenmesi dolayısıyla sözleşmeyi ihlal eden tarafın, ağır
bir sorumluluk altına sokulması nedeniyle antlaşma, tazminat sorumluluğunu
sınırlandırma ihtiyacı duymuştur. İşte antlaşmanın 74. maddesinin 2. cümlesi
bu ihtiyacı karşılamaya yöneliktir. Buna göre sözleşmenin ihlal edilmesi
halinde, sözleşmeyi ihlal eden tarafın ödemekle yükümlü olduğu tazminat
miktarı, sözleşmeyi ihlal eden tarafın sözleşmenin kurulması sırasında
sözleşme ihlâlinin muhtemel sonucu olarak öngördüğü veya o tarihte bildiği
veya bilmesi gerektiği veriler ışığında öngörmesi gerektiği zararı aşamaz.

Art. 74 CISG sets forth two basic principles concerning the recovery
and the calculation of damages under the convention. The remedial system
of the CISG is based on strict liability principle. The party in breach will
therefore be liable for damages even if he was not negligent. In addition to
this, the first sentence of the provision states that damages consist of a sum
equal to the loss (including loss of profit) that the other party suffered as a
consequence of the breach, which refers full compensation principle. The
second sentence of the provision introduces the famous foreseeability
principle which smooths the remedial system of the CISG based on strict
liability and full compensation principles. Under this, the damages
recoverable may not exceed the loss which the party in breach foresaw or
ought to have foreseen at the time of the conclusion of the contract as a
possible consequence of the breach.
