Uluslararası Yatırım Hukukunda Yatırımcıların Meşru Beklentilerinin Korunmasının Sınırları ve Dengelenmesi

Abstract

Uluslararası yatırım hukukunda yatırımcıların meşru beklentilerin korunması, devletler arasındaki ilişkilerin temelini oluşturan iyi niyet ilkesine dayanmaktadır. Meşru beklentilerin korunması prensibi, genellikle adil ve hakkaniyetli muamele standardının bir parçası olarak kabul edilir. Buna göre yatırımcı, ev sahibi devletin şeffaf, tutarlı, belirsizlikten uzak hareket etmesini ve yatırıma temel teşkil eden kararları keyfi olarak değiştirmemesini veya iptal etmemesini bekler. Ancak bu koruma sınırsız değildir ve makul bir şekilde yorumlanmalıdır. Bir anlamda yatırımcı menfaatleri ile devletin ve kamunun menfaatleri arasında bir denge kurulmalıdır. Bu dengeleme uluslararası yatırım hukukunun meşruiyeti için de önemli bir husustur. Yatırım hukukunda meşru beklentilerin sınırlarını belirleyen bazı temeller öne çıkmaktadır. Ev sahibi devletlerin düzenleme yetkisi çerçevesinden yatırım anlaşmaları, devletin hukuki tasarruflarını yatırımcı lehine dondurduğu anlamına gelmez. Devletler, kamu yararı gereğince kamu sağlığı, çevre veya güvenlik gibi alanlarda düzenleme yapma yetkisini haiz olmayı sürdürürler. Bu müdahalelerin meşru kabul edilmesi için "kabul edilebilir değişiklik marjı" içinde kalması ve orantılılık ilkesine uygun olması gerekir. Yine yatırımcının özen yükümlülüğü gereğince yatırımcı, yatırım yapacağı ülkenin politik ve hukuki şartlarını analiz etmekle yükümlüdür. Yatırım, doğası gereği risk barındırır ve yatırımcı, ülkedeki istikrarsız durumları öngörmek durumundadır. Sadece devletin değil, yatırımcının da süreçte gerekli özeni göstermesi meşruiyetin bir şartıdır denebilir. Adil ve hakkaniyetli muamele standardı, devletin yasal çerçevesini her zaman yatırımcı lehine sabitlemesi olarak yorumlanamaz. Beklentilerin korunması, devletin demokratik ve idari mekanizmalarını felç etmemeli; aksine öngörülebilir bir iş ortamı ile kamu yararı arasında makul bir denge kurmalıdır. Sonuç olarak, meşru beklentilerin korunması mutlak bir koruma kalkanı değil, devletin egemenlik hakları ile yatırımcının hukuki güvenlik ihtiyacının uzlaştırıldığı bir sınırlandırma rejimidir.

The Limits And Balancing of Protecting Investors' Legitimate Expectations in International Investment Law

Abstract

The protection of investors' legitimate expectations in international investment law is based on the principle of good faith, which underpins relations between states. The principle of protection of legitimate expectations is generally recognized as part of the fair and equitable treatment standard. Accordingly, the investor expects the host state to act transparently, consistently, and without ambiguity, and not to arbitrarily alter or revoke decisions underlying the investment. However, this protection is not unlimited and must be interpreted in a reasonable manner. In a sense, a balance must be struck between investor interests and the interests of the state and the public. This balancing is also important for the legitimacy of international investment law. Some fundamentals that determine the limits of legitimate expectations in investment law come to the fore. Investment treaties within the framework of the regulatory authority of host states do not mean that the state freezes its legal dispositions in favor of the investor. States retain the power to regulate in the public interest in areas such as public health, environment or security. In order for these interventions to be legitimate, they must remain within the “acceptable margin of variation” and comply with the principle of proportionality. Again, pursuant to the investor's duty of care, the investor is obliged to analyze the political and legal conditions of the country of investment. Investment is inherently risky and the investor must anticipate unstable situations in the country. It can be said that not only the state but also the investor's due diligence in the process is a condition of legitimacy. The standard of fair and equitable treatment cannot be interpreted as the state always fixing its legal framework in favor of the investor. The protection of expectations should not paralyze the democratic and administrative mechanisms of the state; on the contrary, it should strike a reasonable balance between a predictable business environment and the public interest. In conclusion, the protection of legitimate expectations is not an absolute protection shield, but a limitation regime that reconciles the sovereign rights of the state with the investor's need for legal security.
