Alacaklıların Korunmasına İlişkin Farklı Yöntemlerin Sermayenin Korunması İlkesi Bağlamında Değerlendirilmesi

Abstract

Kıta Avrupası hukuk sisteminin benimsendiği ülkelerde anonim şirketler hukukunun önemli bir parçası olarak kabul edilen sermayenin korunması ilkesi ile şirket alacaklılarının muhafazası hedeflenmiştir. Anglo-Amerikan hukuk sistemlerinde ise bu hedefin aynı ölçüde merkeze alındığını ve şirketler hukukunun önemli bir parçasını teşkil ettiğini söylemek mümkün değildir. Alacaklıların korunması hedefi, sermayenin korunması ilkesine ilişkin yoğun tartışmaların yaşandığı bir dönemde hazırlık çalışmalarına başlanan 6102 sayılı TTK ile de açıkça zikredilmiştir. Şirketin bağlı malvarlığını şirket alacaklıları lehine muhafaza etmek isteyen kanun koyucu, sermayenin korunması ilkesini açık bir lafız ile ticaret kanunumuzun bir parçası haline getirmiştir. Ancak, şirket alacaklılarının menfaatlerini muhafaza etmeyi hedef tutan yegane yöntem sermayenin korunması ilkesi değildir. Dolayısı ile kanun koyucu tarafından ortaya konulan bu hedefin ilke kapsamında tam anlamı ile sağlanıp sağlanamayacağını tespit adına bu hedefe hizmet eden diğer yöntemlerin sermayenin korunması ilkesi merkezinde mukayeseli olarak değerlendirilmesi gerekmektedir.

Evaluation of Alternative Methods on Creditor Protection within the Context of Capital Protection Principle

Abstract

In countries where European Civil Law system is adopted, law-makers aim to protect the creditors with the principles of capital protection, which is also accepted as a corner stone of the joint stock company law. However, the creditor protection is not equally prominent in Anglo-American legal systems and it does not constitute such a considerable part of corporate law. The purpose of creditor protection was clearly mentioned with TCC numbered 6102, which the preparatory works has begun in a period of intense debate on the principle of capital protection. In order to protect company’s subsidiary assets for the benefit of the creditors of the company, the principle of the protection of capital was explicitly accepted as a part of our commercial law. However, capital protection principle is not the only method that aims to protect the interests of company creditors. In order to determine the appropriateness of this principle for the targeted purpose, other methods which will also provide creditor protection should be evaluated in comparison to the principle of capital protection.
