DOES VIOLATION OF THE OBLIGATION BAN TO COMPANY GRANT THE RIGHT TO COMPANY DEBTORS TO DEMAND INFORMATİON FROM THE JOINT STOCK COMPANY?
Abstract
In joint stock companies, the right to demand information for the shareholders and executive board members has been adjudicated in detail. However, regarding the right for the company debtors to demand information, lawmakers are keeping quiet. Turkish Commercial Code Article 395 Clause 2 has granted a significant right for the company debtors for the first time in Turkish Law. According to this, non-shareholding executive board members and the non-shareholding relatives of the executive board members, as described in Article 393, cannot become indebted to the company in cash. For these people, the company cannot provide bail, warranty, and security, cannot commit liability, and cannot assume their debts. In case of the contrary, company debtors may directly pursue proceedings against these people for the sum indebted to the company, over the sum undertaken by the company. For the company debtor to avail of the opportunity provided by this article, in other words, to directly pursue the company borrowers, he needs to know who has borrowed from the company in violation to article 395 and how much has been borrowed. In case the debtor does not possess this information, it will not be possible for him to avail of the direct pursue authorization. In this study, we will be examining whether Article 395 clause 2 provides the company debtor with a right to demand information and if it does not, whether it is possible to be granted with such a right.
