THE BUYER'S CLAIM FOR DAMAGES IN THE CONTEXT OF THE RESCISSION OF THE CONTRACT WHERE THE SELLER DELIVERED DEFECTIVE GOODS IN SWISS AND TURKISH LAW: A HISTORICAL EVALUATION OR REMNANT?
Abstract
Following the reception of the Swiss Civil Code and Swiss Code of Obligations (SCO), Turkish law was integrated into the continental European legal system and began to face similar issues to those of its origin, i.e. Swiss law. Given the fact that, the seller's responsibility for damages dates back to Roman sources and was examined by medieval lawyers from a different angle. Nonetheless, humanists and pandectists contributed to the divergence of French and German legal codifications. Prior to the Federal Code of Obligations in Switzerland, cantonal laws were influenced by both French and German law. This influence can be seen in the SCO of 1881 and 1906, especially in the provisions concerning the seller's liability for damages resulting from the delivery of defective goods where the buyer rescinds the contract. The issue of the seller's liability for damages resulting from the delivery of defective goods has been debated ever since the SCO came into force in 1881. Controversy surrounding this issue intensified even after the 1911 SCO came into force. This divergence of opinion has periodically resurfaced in Swiss legal doctrine over the past century focusing on the distinction between direct and indirect losses. On 28 November 2006, the Swiss Federal Tribunal made a decision that would become known as the 'parrot decision', which reignited the aforementioned debate. Therefore, this article aims to examine the historical background in order to define the distinction between direct and indirect losses in accordance with the doctrine of Swiss and Turkish law.
