Abstract

Küresel kapitalizmin yaşadığı yapısal krizlerin etkisi ile birlikte kooperatiflerin varlığı yeniden tartışılmaya ve gündeme gelmeye başlamıştır. Bu bağlamda kooperatiflerin yeni döneme uygun bir şekilde örgütlenmeleri ve yönetimden kaynaklanan sorunlarının tespit edilerek çözüme kavuşturulmaları elzemdir. Bu noktada, özellikle 1990’lardan itibaren gündeme gelen kurumsal yönetişim tartışması kooperatiflerin bu sorunlarını çözüme kavuşturması muhtemel bir süreç olarak değerlendirilebilir. Literatür taraması yöntemi ile yapılan bu makale çalışması ile birlikte alan araştırması yapacak olan araştırmacılara yönelik öneriler de verilmektedir. Çalışma iki bölümden oluşmaktadır. İlk bölümde kooperatifler ve kurumsal yönetişim kavramları teorik olarak ele alınmaktadır. İkinci bölümde ise kurumsal yönetişim ile ilişkili olarak değerlendirilen teorilerin ve ilkelerin kooperatifçilik ilkeleri ile ilişkisine dair teorik bir tartışma yürütülmektedir. Sonuç olarak kurumsal yönetişim ilkeleri ve teorileri ile kooperatifçilik ilkeleri arasında çok sayıda benzerlik bulunmaktadır.

Discussing the Applicability of Corporate Governance in Cooperatives in Context of Corporate Governance Theories: A Theoretical Framework

Abstract

With the effect of the structural crises experienced by global capitalism, the existence of cooperatives has started to be discussed and brought to the agenda again. In this context, it is essential that the cooperatives are organized in accordance with the new period and that the problems arising from management are determined and resolved. At this point, the corporate governance debate, which has been on the agenda especially since the 1990s, can be considered as a process that is likely to solve these problems of cooperatives. Along with this article study, which was carried out with the literature review method, suggestions for researchers who will conduct field research are also given. The study consists of two parts. In the first part, the concepts of cooperatives and corporate governance are discussed theoretically. In the second part, a theoretical discussion is carried out on the relationship between the theories and principles considered in relation to corporate governance and the principles of cooperatives. As a result, there is a lot of similarity between the principles and theories of corporate governance and the principles of cooperatives.
