Yasa koyucu tarafından 2022 yılında, Elektronik Ticaretin Düzenlenmesi Hakkında Kanun’da (ETDHK), 7416 sayılı Kanun aracılığıyla önemli değişiklikler gerçekleştirilmiş ve bu değişiklikler uyarınca Ticaret Bakanlığı tarafından Elektronik Ticaret Aracı Hizmet Sağlayıcı (ETAHS) ve Elektronik Ticaret Hizmet Sağlayıcılar (ETHS) Hakkında Yönetmelik çıkarılmıştır. Yapılan değişikler sonucunda e-ticaret pazar yeri kavramına, bu ortamda faaliyet gösteren taraflara ve taraflar arasındaki hukuki ilişkiye dair önemli düzenlemeler Türk Hukukuna dahil edilmiştir. Söz konusu değişikliğin önemli sonuçlarından biri de e-ticaret pazar yerinde faaliyet gösteren ETAHS ve ETHS arasında kurulan aracılık sözleşmesine dair bazı belirlemelerin yapılmış olmasıdır.
Bu makalenin konusunu oluşturan aracılık sözleşmesi, e-ticaret pazar yerinde ETAHS ve ETHS arasında kurulan, isimsiz bir sözleşmedir. Aracılık sözleşmesinin, e-ticaret pazar yerinde ETAHS tarafından ETHS’ye sunulan aracılık hizmetinin kapsam ve koşullarının Yönetmelik’te belirlenen asgari içerik koşuluna uygun olarak yazılı veya elektronik ortamda düzenlendiği; sunulan hizmet karşılığında ETHS’nin ETAHS’ye bir bedel ödediği; tam iki tarafa borç yükleyen ve sürekli borç ilişkisi doğuran bir sözleşme olarak tanımlanması mümkündür.

In 2022, significant amendments were made to the Law on the Regulation of Electronic Commerce (LREC) through Law No. 7416 by the legislator, and pursuant to these amendments, the Regulation on Electronic Commerce Intermediary Service Providers (ECISP) and Electronic Commerce Service Providers (ECSP) was issued by the Ministry of Trade. As a result of these amendments, important regulations regarding the concept of e-commerce marketplace, the parties operating in this environment and the legal relationship between the parties were included in Turkish Law. One of the important consequences of this amendment is that some determinations have been made regarding the intermediation agreement between the ECISP and ECSP operating in the e-commerce marketplace.
The intermediation contract, which is the subject of this article, is an anonymous contract between the ECISP and ECSP on the e-commerce marketplace. It is possible to define an intermediation contract as a contract in which the scope and conditions of the intermediation service provided by ECISP to ECSP on the e-commerce marketplace are regulated in writing or electronically in accordance with the minimum content conditions set out in the Regulation; ECSP pays a fee to ECISP in return for the service provided; and which creates a continuous debt relationship that imposes an obligation on both parties.
