Abstract
This article examines the application of cumulative voting model in corporate
elections from a comparative law perspective. Tripartite coalition government
of Turkey passed the 1999 Amendments to the Capital Markets Law to authorize
the Capital Markets Board to regulate cumulative voting for public corporations.
The Capital Markets Board adopted the Russian model of cumulative voting. Law
& Economics professors developed a cumulative voting system based upon the
“self enforcing model of corporate law” and this model is implemented in Russia
under the auspices of President Yeltsin. However, both Russian and Turkish practices
have not yielded the anticipated results.

Anonim Şirketlerde Birikimli Oy Kullanımı
Abstract
Bu makale birikimli oy sisteminin anonim şirketlerde uygulanmasını karşılaştırmalı
hukuk açısından incelemektedir. Üçlü koalisyon hükümeti 1999 Sermaye Piyasası
Kanunu değişikliği ile Sermaye Piyasası Kurulu’na birikimli oy sistemini
halka açık şirketler için düzenleme yetkisi vermiştir. Sermaye Piyasası Kurulu
birikimli oy sisteminde Rus modelini benimsemiştir. Hukuk & İktisat profesörleri
tarafından “anonim şirketler hukukunun re’sen icrası” teorisi üzerine geliştirilen
bu birikimli oy modeli Devlet Başkanı Yeltsin tarafından hayata geçirilmiştir.
Ancak, hem Rus hem Türk uygulaması beklenen sonuçları doğurmamıştır
