Yüklenicinin Süre Uzatım ve Ek Ödeme Taleplerine İlişkin FIDIC Kırmızı Kitap 20/2. Maddede Öngörülen 28 Günlük Süre Sınırlamasının Türk Borçlar Kanunu’nda Yer Alan Genel İşlem Koşulları Bakımından Değerlendirilmesi

Abstract

Yerel ve uluslararası inşaat ve mühendislik faaliyetlerinde kullanılmak üzere çeşitli kurum ve kuruluşlar tarafından hazırlanmış çok sayıda tip sözleşme bulunmakta olup, bunlar içerisinde en çok tercih edileni, temel kitap niteliğinde olan FIDIC Kırmızı Kitaptır. FIDIC Kırmızı Kitap’ta yüklenicinin süre uzatımı ve ek ödeme taleplerine ilişkin izlenmesi gerekli yol 20/2. maddede ayrıntılı olarak düzenlenmiş olup buna göre, yüklenicinin süre uzatımına ve ek ödeme yapılmasına sebep olan olay ya da durumundan haberdar olduğu ya da olması gerektiği tarihten itibaren 28 günlük süre içerisinde süre uzatımı ve ek ödeme talebinde bulunması gerekmektedir. Aksi takdirde iş bu 28 günlük süre bir hak düşürücü süre niteliğinde olması sebebiyle yapılan bildirim geçersiz olacaktır. Ancak Kırmızı Kitap dahil FIDIC sözleşmeleri, emredici uluslararası hukuk kuralı niteliğinde olmayıp, birer özel hukuk sözleşmesi niteliğinde olmaları nedeniyle, sözleşme hükümlerinin, sözleşmeye uygulanacak hukukunun emredici kurallarına aykırı olmaması gerekmektedir. Aksi takdirde, söz konusu sözleşme hükümleri geçersiz sayılacaklardır. Bu kapsamda bizim de içerisinde yer aldığımız Kıta Avrupası Hukuk Sistemine tabi birtakım hukukçular tarafından iş bu 28 günlük sürenin, taraflar arasında müzakere konusu yapılmamış bir genel işlem koşulu niteliğinde olduğu gerekçesiyle geçersizliğine karar verilebileceği ifade edilmektedir. Ancak Türk Borçlar Kanunu’nda yer alan genel işlem koşullarına ilişkin hükümler dikkate alındığında, söz konusu görüşün kabulü mümkün değildir.

Evaluation of the 28-Day Period to the Contractor's Requests for an Extension of Time and Additional Payment Under Article 20/2 in the FIDIC Red Book Regarding with Respect to the General Transaction Conditions in the Turkish Code of Obligations

Abstract

There are lots of standard contracts drawn up by various institutions and organizations to be used in domestic and international construction and engineering projects, and the most preferred among them is the FIDIC Red Book, which is the main book. The way to be followed regarding the contractor's extension of time and additional payment requests is on article 20/2 in the FIDIC Red Book. It is regulated in detail in the article and accordingly, the contractor has to request an extension of time and additional payment within 28 days from the date on which the contractor was aware of or should have been aware of the event or situation that caused the extension of time and additional payment. Otherwise, the notification will be invalid because this 28-day period is a condition precedent. However, since FIDIC contracts, including the Red Book, are not mandatory international law rules, but are private law contracts, the contract's provisions should not be contrary to the mandatory rules of the law to be applied to the contract. If not, the provisions of the contract will be invalid. In this context, it is stated by some doctrines in the Civil Law, of which we are a part, that this 28-day period may be declared invalid on the grounds that it is a general transaction condition that has not been negotiated between the parties. However, considering the provisions regarding the general transaction conditions in the Turkish Code of Obligations, it is not possible to accept the opinion.
