Cross Border Reorganisation and Bankruptcy of Direct Insurance Undertakings in EC Within the Scope of Title IV of Solvency II Directive

Solvency II directive also includes rules on cross-border reorganisation and winding-up of direct insurance undertakings within the EC. The main source of the relevant rules is the repealed directive 2001/17/EC which had been both reviewed and revaluated before having put its rules under Title IV of the Solvency II Directive. Progress in the field of EC conflict of laws (Rome I, Rome II) has produced its effects on the applicable law through dependant choice-of-law rules included in the directives. The choice-of-law rules that the dependant choice of law rules in the directives are linked to has been changed considerably by the entry into force of the Rome I and II regulations.

Mâlî Yeterlilik II Direktifi doğrudan sigorta işletmelerinin Avrupa Birliği içi sınıraşıcı yeniden yapılandırılması ve tasfiyesini konu edinen kurallar da ihtiva etmektedir. İlgili kuralların ana kaynağı mülga 2001/17/EC direktifidir. Bu kurallar gözden geçirilip yeniden değerlendikten sonra Mâlî Yeterlilik II Direktifinin dördüncü başlığı altında yer verilmiştir. Avrupa Birliği kanunlar ihtilafı hukuku alanındaki gelişmeler (Roma I ve Roma II tüzükleri) direktiflerin konuyu ele alan bağımlı bağlama kuralları sebebiyle uygulanacak hukuku etkilemiştir. Bağımlı bağlama kurallarının bağlandıkları bağlama kuralları Roma I ve Roma II tüzüklerinin yürürlüğe girmesiyle birlikte kayda değer şekilde değişmiştir.
