SERMAYE PİYASASI KURULU (SPK) KURUMSAL YÖNETİM İLKELERİNDEN YÖNETİM KURULU İLKESİNİN İNCELENMESİNE YÖNELİK NİTEL BİR ARAŞTIRMA

The Capital Markets Board (CMB) issued by the principles of corporate governance, scope, and purpose is similar to the OECD principles of corporate governance. CMB's corporate governance principles can be grouped under four main headings. These principles are; "shareholders", "public disclosure and transparency", "stakeholders", "board of directors" principles. SMEs through a process of rapid transformation in the context of global competition, more transparent corporate governance principles of the work is of great importance to enhance their global competitiveness. SMEs, in terms of integration with the world economy, to provide a high and sustainable growth rates, at the corporate governance principles need to be in business. Sermaye Piyasası Kurulu (SPK) tarafından yayımlanan kurumsal yönetim ilkeleri, kapsam ve amaç açısından OECD kurumsal yönetim ilkeleri ile benzerlik göstermektedir. SPK kurumsal yönetim ilkelerini dört ana başlık altında toplamak mümkündür. Bu ilkeler; “pay sahipleri”, “kamuyu aydınlatma ve şeffaflık”, “menfaat sahipleri”, “yönetim kurulu” ilkeleridir. Küresel rekabet şartları içerisinde hızlı bir dönüşüm süreci yaşayan KOBİ’lerin, daha şeffaf kurumsal yönetim ilkeleriyle çalışması küresel rekabet güçlerini artırmalarında büyük önem taşımaktadır. KOBİ’ler açısından, Dünya ekonomisi ile bütünleşme, yüksek ve sürdürülebilir büyüme oranları sağlama noktasında, kurumsal yönetim ilkelerinin iş hayatına geçirilmesi gerekmektedir. Bu çalışmanın temel amacı, SPK kurumsal yönetim ilkeleri içinde özellikle kurumsal yönetim anlayışının uygulanmasında anahtar rol oynayan “yönetim kurulu ilkesinin” kapsamını açıklamak ve araştırma kapsamına aldığımız işletmede, bu ilke ile ilgili uygulamaların hangi düzeyde gerçekleştirildiğini belirlemektir. İşletmemizde, “yönetim kurulu ilkesinin” uygulanma düzeyi, SPK tarafından yayımlanan, “kurumsal yönetim ilkeleri uyum raporu” kapsamında değerlendirilerek yorumlanmıştır. Araştırmamızda verilerin toplanmasında nitel araştırma yöntemlerinden görüşme yöntemi kullanılmıştır. Araştırma sonucunda işletmemizin yönetim kurulu yapı ve uygulamaları açısından SPK kurumsal yönetim ilkelerinden “yönetim kurulu” ilkesine bazı konularda uyumlu olmadığı görülmüştür
