YAPAY ZEKANIN ŞİRKET YÖNETİMİNE OLASI KATKILARININ KURUMSAL YÖNETİM KAPSAMINDA DEĞERLENDİRİLMESİ

Öz

Teknoloji alanındaki hızlı ilerleme, yapay zekanın anonim şirketlerde kullanımını her geçen gün arttırmaktadır. Bununla birlikte şirketler hukuku da yapay zeka teknolojilerinden etkilenen bir alan haline gelmektedir. Yapay zeka ve şirketler hukuku arasındaki ilişkinin birçok farklı boyutu bulunmaktadır. Ancak bu çalışma sadece şirket yönetimi açısından yapay zekanın kurumsal yönetime olası katkısını değerlendirecektir.
Borsada işlem gören anonim şirketlerin en büyük sorunlarından biri, sahiplik ve kontrolün ayrılması sonucunda yöneticiler ile hissedarlar arasındaki çıkar çatışması sonucu ortaya çıkan vekalet sorunudur. Vekalet sorunu, kurumsal yönetimin çözmeye çalıştığı en önemli sorundur. İnsan doğası gereği kendi çıkarları doğrultusunda kararlar alma eğilimindedir. Bu nedenle vekilin karar alırken asilin menfaatleri doğrultusunda hareket etmesini sağlamak zor ve maliyetlidir. Yapay zekanın karar alma sürecinde kullanılması, yöneticiler ve hissedarlar arasındaki çıkar çatışmalarını azaltabilir. Ancak hukuki sorunlar, yapay zekanın şirket yönetiminde nasıl kullanılabileceği konusunda hukuki bir değerlendirmeyi gerektirmektedir. Bu çalışmanın sonucu, yapay zekanın bir yönetici veya yönetim kurulu üyelerinin seçiminde nihai karar verici olarak değil, yönetim kurulu asistanı olarak kullanılmasının yasal olduğu ve kurumsal yönetimi destekleyeceği yönündedir.

AN ASSESSMENT OF THE POSSIBLE CONTRIBUTIONS OF ARTIFICIAL INTELLIGENCE TO CORPORATE MANAGEMENT WITHIN THE SCOPE OF CORPORATE GOVERNANCE

Öz

Rapid progress in the field of technology increases the use of artificial intelligence in joint stock companies day by day. Concomitantly, corporate law is also becoming an area affected by artificial intelligence technologies. The relationship between artificial intelligence and corporate law has many different dimensions. However, this study will only evaluate the possible contribution of artificial intelligence to corporate governance in terms of company management.
One of the biggest problems of listed joint stock companies is the separation of ownership and control which results in agency problem that is conflicts of interest between the managers and shareholders. Agency problem is the most important problem that corporate governance seeks to solve. By nature, human beings tend to make decisions in line with their own interests. Therefore, it is difficult and costly to ensure that the agent acts in line with the principal's interests when making decisions. The use of artificial intelligence in the decision-making process can reduce conflicts of interest between principals and agents. However, legal problems require a legal evaluation of how artificial intelligence can be used in company management. The main conclusion of this study is that artificial intelligence as an assistant of the board, rather than as a director or as the final decision-maker in selection of board members, is lawful and promotes corporate governance.
