Goodwill compensation claim is one of the most problematic question, in
case of the termination of agency or distribution agreements. Faced with this kind of controversies arising out of contracts having foreign element, Turkish
judge have to evaluate the problem wtihin a conflict of laws view. In Turkish
doctrine, the qualification of the goodwill compensation claim is a debated
issue. Nevertheless, the provision of Turkish Commercial Code regarding the
goodwill compensation is qualified as directly applicable rule in terms of
conflict of laws. However, another opinion evaluates this issue in public order
considerations. This study discuss the legal character and conflict of laws’
dimension of goodwill compensation claims.
