The Scope of the Companies’ Right of Establishment and Cross-Border Conversions After the Polbud Decision

Abstract

The CJEU in its recent Polbud judgment (25.10.2017, C-106/16) stated that a company, transferring solely its registered office to another Member State, may invoke the freedom of establishment against the Member State of origin, even if it does not pursue any genuine economic activity in the host Member State. In this paper after a brief explanation of the concept of conversion, the Court's judgments on the right of establishment of companies is summarised. The Vale and Polbud decisions and the effects of these decisions are explained in detail. Lastly the effects of Polbud decision to the Commission's “Proposal for a Directive amending Directive (EU) 2017/1132 as regards cross-border conversions, mergers and divisions” is briefly analyzed.

Polbud Kararı Sonrasında İş Kurma Serbestîsinin Kapsamı ve Şirketlerin Sınıraşan Tür Değişikliği

Öz

Avrupa Birliği Adalet Divanı, şirketlerin tür değiştirmesine ilişkin 25.10.2017 tarih ve C-106/16 sayılı Polbud kararında bir şirketin tescilli merkezini, fiilen ekonomik faaliyette bulunmayacağı bir üye devlete taşımasını da iş kurma serbestîsi kapsamında değerlendirmiştir. Divan’ın Polbud kararı sonrasında, iş kurma serbestîsinin uygulama koşulları arasında yer alan başka bir üye devletin ekonomik yaşamına istikrarlı ve devamlı surette katılması unsurunu terk ettiği görülmektedir. Çalışmada öncelikle kısaca tür değiştirme işlemlerine değinilecek, ardından sınıraşan tür değiştirmeye ilişkin Vale ve Polbud kararlarına kadarki Divan içtihadı özetlenecektir. Devam eden başlıkta sınıraşan tür değiştirmeye ilişkin Vale ve Polbud kararları ayrıntıları ile incelenecektir. Son olarak, Polbud kararının Komisyon’un hazırladığı Şirketler Hukukuna İlişkin 2017/1132 sayılı Yönerge’de Sınıraşan Tür Değiştirme, Birleşme ve Bölünme İşlemleri İle İlgili Değişiklik Yapılması Hakkında Yönerge Taslağı’na etkisi kısaca değerlendirilecektir.
