AB ÜYE DEVLETLERİNDE COVID-19 AŞILARININ ÖN SATIN ALMA SÖZLEŞMELERİ İÇİN VİYANA SATIM ANTLAŞMASININ (CISG’İN) UYGULANABİLİRLİĞİ

Öz

Avrupa Komisyonu, Avrupa Birliği’nde COVID-19 aşısının üretimi, satın alınması ve temini için çeşitli aşı üretici firmaları ile ön satın alma sözleşmesi imzalamıştır. AstraZeneca, Curevac Ag ve Pfizer Inc./BioNTech ile yapılan sözleşme metinlerinin bazı kısımları karartılarak yayımlanmıştır. Bu sözleşmelerde uyuşmazlıklar için Belçika mahkemelerinin yetkili kılındığı ve uygulanacak hukuk
olarak Belçika hukukunun seçildiği anlaşılmaktadır. Bahsedilen sözleşmelere ilişkin bir uyuşmazlıkta, yetkili mahkemelerin, Belçika’nın Milletlerarası Mal Satımına İlişkin Sözleşmeler Hakkında Birleşmiş Milletler Antlaşması’na (CISG) taraf bir devlet olması nedeniyle CISG’i uygulaması mümkündür. Hukuk seçimi yapılmamış olsa dahi, sözkonusu sözleşmelerin tüm taraflarının işyerlerinin CISG’e taraf
devletlerde bulunması, CISG’i uygulanabilir kılmaktadır. Çalışmada, AB Üye Devletlerinde COVID-19 aşısının üretimi, satın alınması ve temini için (özellikle AstraZeneca ile) yapılan ön satın alma sözleşmelerine ilişkin olarak ortaya çıkabilecek bir ihtilâfta CISG’in uygulanabilirliği değerlendirilmektedir.

Applicability of the Vienna Sale Agreement (CISG) for Advanced Purchase Agreements of COVID-19 Vaccines in EU Member States

Öz

The European Commission has signed advanced purchase agreements with various vaccine manufacturers for the production, purchase and supply of the COVID-19 vaccine in the EU. Some parts of the agreement texts with AstraZeneca, CurevacAg and Pfizer Inc./BioNTech have been blacked out. In these agreements, it is understood that Belgian courts are competent and Belgian law is chosen. In a dispute, it is possible for the competent courts to apply CISG since Belgium is a party to the CISG. Even if choice of law hasn’t been made, the fact that the workplaces of all parties to these ageements are party to CISG, makes the CISG applicable. This study evaluates the applicability of the CISG to advanced purchase agreements (especially made with AstraZeneca) in EU Member States.
